SimPath is an educational tool. Use it responsibly, legally, and in good faith.

1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you") and SimPath, Inc. ("SimPath", "we", "our"). By creating an account, accessing, or using the SimPath platform and any associated services (collectively, the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an institution or organisation, you represent that you have authority to bind that entity to these Terms. If you do not agree, do not use the Service.

2. Description of Service

SimPath is an AI-powered therapy simulation platform designed exclusively for educational and professional training purposes. It enables therapists-in-training to practice counselling techniques with AI-driven virtual clients, receive competency-based performance feedback, and track their development over time. The Service is not a clinical tool, a licensed mental-health service, or a substitute for supervision by a qualified professional.

3. Eligibility

  • You must be at least 18 years of age to create an account.
  • You must be enrolled in or employed by an accredited academic institution or professional training programme, or otherwise engaged in the legitimate training of mental-health practitioners.
  • Accounts are personal and non-transferable. You may not share your credentials or allow another person to access the Service under your account.

4. Acceptable Use

You agree to use the Service only for lawful, educational purposes consistent with its design. Specifically, you may:

  • Conduct simulated therapy practice sessions with AI clients
  • Review your session history, competency scores, and progress data
  • Access documentation, tutorials, and platform resources
  • Submit feedback, bug reports, or feature requests through designated channels

5. Prohibited Activities

You must not, and must not attempt to:

  • Use the Service to provide actual therapeutic treatment or counselling to real individuals
  • Impersonate any person, entity, or professional credential
  • Use the Service to generate, store, or transmit unlawful, harmful, harassing, defamatory, threatening, or sexually explicit content
  • Attempt to reverse-engineer, decompile, disassemble, or extract source code from the Service
  • Probe, scan, or test the vulnerability of any system or network associated with SimPath without written authorisation
  • Circumvent or disable any authentication, rate-limiting, or access-control mechanism
  • Scrape, harvest, or systematically extract data from the Service using automated means
  • Introduce malware, viruses, or any malicious code into the Service
  • Use the Service in any manner that could damage, disable, overburden, or impair its infrastructure
  • Resell, sublicense, or commercialise any portion of the Service without express written consent
  • Share, publicly post, or distribute AI client personas, session transcripts, or scoring rubrics obtained from the Service without authorisation
  • Violate any applicable local, national, or international law or regulation

Violations may result in immediate account suspension or termination and, where appropriate, referral to law enforcement.

6. Accounts & Security

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must notify us immediately at [email protected] if you suspect unauthorised access to your account.
  • SimPath is not liable for any loss or damage arising from your failure to safeguard your credentials.
  • We reserve the right to suspend or terminate accounts that show signs of compromise or misuse.

7. Subscriptions & Billing

SimPath offers Free, Plus, and Neural subscription tiers. Paid plans are billed monthly or annually as selected at sign-up.

  • Subscription fees are non-refundable except as required by applicable law or at our sole discretion.
  • We reserve the right to modify pricing with at least 30 days' notice to subscribers. Continued use after the price change takes effect constitutes acceptance. If you do not agree to the new pricing, you may cancel your subscription before the new price takes effect.
  • Free tier accounts are subject to usage limits (session count, features) which may change with reasonable notice. Material changes will be communicated to you via email or in-app notification.
  • Accounts with overdue payments may be suspended until outstanding balances are resolved.

8. Intellectual Property

All intellectual property rights in the Service — including the platform software, AI models, client personas, scoring rubrics, user interface, branding, and documentation — are owned by or licensed to SimPath, Inc. These Terms do not transfer any ownership interest to you.

You retain ownership of any original content you create and submit through the Service (e.g., session notes you author). By submitting content, you grant SimPath a limited, non-exclusive, royalty-free licence to store and display that content solely for the purpose of providing the Service to you.

"SimPath", the SimPath logo, and associated marks are trademarks of SimPath, Inc. You may not use them without prior written permission.

9. Educational & Non-Clinical Use Only

The Service is designed exclusively as an educational training tool. It is not a licensed mental-health service, medical device, or clinical product.

  • AI-generated responses must not be applied to real client care without appropriate clinical supervision.
  • You are solely responsible for ensuring compliance with relevant professional standards, licensing requirements, and clinical supervision obligations in your jurisdiction.
  • Competency scores produced by the platform are formative indicators for training purposes only and do not constitute a professional or accredited assessment.
  • SimPath does not provide mental-health advice to users. If you are in crisis or distress, please contact a qualified mental-health professional or emergency services.

10. Disclaimers

To the extent permitted by law, the Service is provided on an "as available" basis. We aim to ensure the Service is reliable and fit for purpose, but we do not warrant that it will be uninterrupted, error-free, or free of harmful components.

AI-generated content is probabilistic in nature and may be inaccurate, incomplete, or inappropriate. You are responsible for evaluating the output of simulation sessions in the context of your professional training and under appropriate clinical supervision.

Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any consumer guarantees or statutory rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable consumer protection legislation that cannot be excluded by law.

11. Limitation of Liability

Subject to the Australian Consumer Law: To the extent permitted by applicable law, SimPath, its directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising out of or in connection with these Terms or your use of the Service, even if advised of the possibility of such damages.

Liability Cap: Our aggregate liability for any claim arising under these Terms shall not exceed the total fees you have paid to SimPath in the 12 months preceding the claim, to the extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless SimPath, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

You may terminate your account at any time by contacting us at [email protected].

We reserve the right to suspend or permanently terminate your access to the Service at any time, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a risk to other users or the platform. Upon termination, your right to access the Service ceases immediately. Sections 8 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 15 (Governing Law), and 16 (Privacy & Australian Privacy Principles) survive termination.

14. Modifications to Terms

We may revise these Terms at any time. Material changes will be communicated by email (to opted-in users) and/or by posting an updated version at this URL at least 14 days before they take effect. If you continue to use the Service after the effective date of revised Terms, you accept the changes. If you do not agree, you must stop using the Service and contact us to close your account.

15. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to conflict-of-law principles.

Dispute Resolution: If a dispute arises under these Terms that cannot be resolved informally through good-faith discussion, either party may initiate proceedings in the courts of New South Wales. Each party consents to the non-exclusive jurisdiction of these courts.

Nothing in these Terms prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm or breach of intellectual property rights.

16. Privacy & Australian Privacy Principles

Your use of the Service is governed by our Privacy Policy. We handle your personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). For more information about how we collect, use, and disclose your personal information, please refer to our Privacy Policy. If you have concerns about our privacy practices, you may lodge a complaint with the Office of the Australian Information Commissioner (OAIC).

17. General

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and SimPath regarding the Service.
  • Severability. If any provision is held unenforceable under Australian law or any other applicable law, the remaining provisions remain in full force to the maximum extent permitted.
  • Waiver. Failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign ours freely.
